2.      PT Iforte Solusi Infotek (“Iforte”);

3.      PT Solusi Tunas Pratama, Tbk. (“SUPR”); dan/and

4.      Bank of China, Cabang Jakarta (“Bank”).

Type of Material Information or Facts

1. The Signing of the Amendment and Restatement of the Facility Agreement November 7, 2024, made between Protelindo as a borrower and Bank as the lender (“Facility Agreement”).

2. Each of Iforte and SUPR signed Amended Restated Corporate Guarantee and Indemnity Agreement dated November 7, 2024 with Bank (“Corporate Guarantee”).

Facility Agreement and Guarantee Agreement together will be referred as to "Transaction".

Description of Material Information or Facts

The following are the key terms and conditions under the Facility Agreement:

1. Commitment: IDR965.000.000.000.

2.  Final Maturity Date:n4 years since January 21, 2022 and can be extended up to a year.

3. Governing Laws: Law of Indonesia.

Based on the Corporate Guarantee, Iforte and SUPR will guarantee all the obligations of Protelindo under the Facility Agreement.

The impact of such event, information or material facts towards operational activities, legal, financial condition, or business continuity of the Issuer or Public Company

The performance of such Transaction does not have negative material impact to the operational, legal, financial condition or continuity of the Company's business.

Other information

1. The execution of the Transaction is an affiliated transaction as referred to:

(i) Clause 6 section (1) letter (d) of POJK 42, i.e. a loan received directly from bank; and/or

(ii) Clause 6 section (1) letter (e) of POJK 42, i.e. a corporate guarantee provided to bank in relation to the loan granted to a public company or its subsidiaries.

2.  The Transaction is not a conflict-of-interest transaction of the Company as referred to POJK 42 and not a material transaction as referred to the OJK Regulation No. 17/POJK.04/2020 on Material Transactions and Change of Business Activities.
